Legal and licences.

Critical.Minerals is a proposed trade venue and operating system. Until a company is incorporated in a chosen home state and the correct licences are granted, nothing on this preview is an offer to deal, an offer of securities, a payment service, or a promise that a live order can be filled.

Venue

The house operates at criticalminerals.market. The public tape sits at criticalminerals.today. Membership, settlement instructions and the data room are issued only from criticalminerals.market. Desk mail: desk@criticalminerals.market.

What this is not

Not a miner, a refiner or a government stockpile. Not an existing listed vehicle trading under another name. Producers sit as members, not as the house. The house is the venue and the escrow agent. Documents sit in a permissioned vault: who sees which file is logged. Preview access is not a production key ceremony.

Escrow agent

On a live floor the house would hold cash as escrow agent under a stand-alone deed, in segregated client-money accounts at nominated correspondents. It is not a party to the trade. Release requires the matrix on the ticket, a sanctions reclear and dual control. This preview does not hold money and is not a licensed escrow, payment or banking service.

Build structures

A three-party offtake (origin, mill, downstream buyer) is a set of English-law deeds with one master escrow. The member is principal on all three legs — inventory, yield and spec sit with them. The house remains agent. Nothing on this preview is a token, a DAO, or an offer of a managed investment scheme. If a structure looks like a fund, it does not ship until counsel says otherwise.

Licence perimeter to be confirmed

A multilateral venue, client money, FX principal dealing, SWIFT as a payment institution, and writing hashes of contracts to a public chain each sit in different regimes. Counsel maps this before go-live.

Membership enquiries on this preview stay in the browser. Production will name the controller, processors, retention and cross-border transfers before any identity document is collected.
